1. Agreement to Terms

By purchasing any program, subscription, or service from Born for Prosperity ("Company") you ("Client") agree to be bound by these Terms and Conditions. These terms apply to all programs and services including Build and Scale Your Brand in 30 Days, Brand Starter, Born for Prosperity Brand Builder Mentorship, and Prosper subscription plans.

2. Programs and Services

The Company offers the following programs and services:

Brand Starter — $999 one-time. A brand foundation package including logo design, 5-page website, brand colors and fonts, one marketing template, and two calls with Dwayne Simpson.

Build and Scale Your Brand in 30 Days — $1,999 one-time. A complete done-for-you brand system including logo, website, CRM and automation setup, full brand kit, marketing materials, and three calls with Dwayne Simpson. Requires a $197 non-refundable deposit to reserve your spot. Program begins when 50 percent of the total is paid.

Born for Prosperity Brand Builder Mentorship — $5,000 to $25,000. Direct coaching programs available in three tiers: Group Coaching ($5,000 per year), Accelerator ($10,000 per 6 months), and Elite ($25,000 per year). All mentorship enrollments are application-based. Acceptance is at the sole discretion of the Company.

Prosper Subscription — $97, $197, or $297 per month. A recurring monthly subscription to the Prosper business automation platform. See Section 5 for complete subscription terms.

3. Payment Terms

All prices are in United States Dollars (USD). Payment is required before work begins or access is granted unless otherwise specified.

For Brand Starter and Build and Scale programs a $197 non-refundable deposit is required to reserve your spot. The remaining balance is due before the program officially begins.

For Prosper subscriptions payment is processed automatically on a recurring monthly basis via Stripe.

For Born for Prosperity Brand Builder Mentorship programs payment terms are outlined in your individual enrollment agreement.

4. Refund and Cancellation Policy

Brand Starter and Build and Scale Programs: The $197 deposit is non-refundable under all circumstances. After the kickoff call and work has begun no refunds are issued. Before the kickoff call the remaining balance (not the deposit) may be refunded if requested in writing within 48 hours of payment.

Born for Prosperity Brand Builder Mentorship: All mentorship payments are non-refundable after the program kickoff call. Refund requests made before the kickoff call and within 48 hours of payment may be considered at the Company's discretion.

Prosper Subscriptions: Monthly subscription payments are non-refundable. You may cancel at any time and retain access through the end of your current billing period. See Section 5 for complete cancellation terms.

5. Prosper Subscription Terms

5.1 Subscriptions are billed on a recurring monthly basis beginning on the date of your first payment.

5.2 You may cancel at any time. Cancellations take effect at the end of your current billing period. No partial refunds are issued for unused days.

5.3 Account data is retained for 30 days after cancellation before permanent deletion. You are responsible for exporting any data you wish to keep.

5.4 The Company reserves the right to update subscription pricing with 30 days written notice.

5.5 Failed payments may result in suspension of platform access until payment is resolved.

5.6 Prosper is powered by GoHighLevel. Your use of the platform is also subject to GoHighLevel's terms of service available at gohighlevel.com.

6. AI Features and Additional Fees

Certain AI features within the Prosper platform including the AI Conversation Bot, AI Content Generator, and AI Voice Agent may incur additional usage-based fees beyond your monthly subscription.

These fees are charged based on actual usage volume. The Company will provide notice of applicable AI usage fees before you activate these features.

You are responsible for monitoring your usage and associated costs. The Company is not responsible for unexpected AI usage charges resulting from automated workflows or third-party integrations you configure within your account.

7. Deposit Policy

The $197 deposit required for Brand Starter and Build and Scale programs is non-refundable under all circumstances including change of mind, failure to schedule the kickoff call within 30 days, or decision to pursue a different vendor.

The deposit is applied toward your total program investment and holds your spot for 30 days from the date of payment. If you have not scheduled your kickoff call within 30 days the Company reserves the right to release your spot to another client. Your deposit credit does not expire and may be applied to a future enrollment.

8. Intellectual Property

Upon receipt of final payment in full for Brand Starter or Build and Scale programs the Client receives full ownership of all final approved brand deliverables including logo, website design, brand kit, and marketing materials created for the engagement.

The Company retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing at the time of project completion.

Working files and source files remain the property of the Company unless otherwise agreed in writing.

9. Acceptable Use

You agree to use all Company programs and the Prosper platform only for lawful business purposes in compliance with all applicable laws and regulations.

You may not use any Company service or the platform to send unsolicited messages, engage in deceptive marketing practices, violate the privacy of individuals, or distribute illegal content.

The Company reserves the right to suspend or terminate your account immediately if your use violates these terms or applicable law.

10. SMS and Email Compliance

By using SMS and email features within the Prosper platform you agree to comply with all applicable laws governing electronic communications including the CAN-SPAM Act, TCPA, and applicable state regulations.

You are solely responsible for obtaining proper consent from your contacts before sending them SMS messages or marketing emails through the platform.

The Company is not liable for any fines, penalties, or legal actions resulting from your failure to comply with applicable regulations.

11. Data and Privacy

You retain ownership of all data you input into the Prosper platform including contact information, communications, and business data.

The Company will not sell your data to third parties or use your business data for purposes other than providing and improving platform services.

The Company collects basic contact and payment information to process transactions and deliver services. This information is never sold to third parties.

12. Limitation of Liability

The Company's total liability under these terms shall not exceed the total amount paid by the Client in the three months preceding the claim.

The Company is not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or business interruption.

The Company does not guarantee specific business results from any program or platform subscription. Results depend on the Client's implementation, effort, and individual business circumstances.

13. Dispute Resolution

In the event of a dispute both parties agree to first attempt resolution in good faith through written communication. If unresolved within 30 days the dispute shall be submitted to binding arbitration in the State of Florida. The prevailing party shall be entitled to recover reasonable attorney fees and costs.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida without regard to conflict of law provisions.
